General Terms of Service

These Terms of Service (this "Agreement") are entered into between Sysop Solutions ("Sysop Solutions," "we," "us," or "our"), and you, the customer ("you," "Customer," "User"). This Agreement governs your access to and use of https://sysophost.com (the "Site") and all products and services made available by Sysop Solutions (collectively, the "Services"), including shared hosting, reseller hosting, VPS, cloud, dedicated servers, domains, SSL certificates, and email hosting.

Your use of the Services constitutes your acceptance of this Agreement. If you do not agree, you are not permitted to use or access the Services. All customers must review and agree to these Terms prior to signing up for any plan. We reserve the right to suspend or cancel access to any Service at any time if we determine, in our reasonable judgment, that it has been used inappropriately or in violation of this Agreement.

The English-language version of this Agreement is the sole authoritative version; any translation is provided solely for convenience.

1. General Rules of Conduct

As a user of our Services, you agree that:

1. Your use of the Site, Services, and any content you contribute will comply with this Agreement, any applicable service-specific policy, and all applicable local, national, and international laws.

2. You will not collect, or permit anyone else to collect, personal or non-public information about other users without their prior written consent.

3. You will not use the Services in a way that:

- Is illegal or promotes illegal activity;
- Encourages or engages in child sexual abuse material (CSAM) or any exploitation of minors;
- Encourages or engages in violence against people, animals, or property, or in terrorism;
- Facilitates spam, unsolicited bulk email, or unauthorized computer/network access ("hacking");
- Facilitates prostitution or human trafficking;
- Infringes the intellectual property rights of any person or entity;
- Breaches the privacy, publicity, or confidentiality rights of any person or entity;
- Disrupts the functioning of our Site, network, or Services;
- Introduces viruses, worms, trojans, or other malicious code;
- Makes false, misleading, or unverifiable claims about Sysop Solutions or its Services.

4. Prohibited content and activity specifically includes, without limitation: pirated software/media ("warez"), password cracking or IP spoofing tools, Ponzi/pyramid schemes, unlicensed pharmaceuticals, explosives, bulk/anonymous SMS gateways, phishing kits, malware distribution, unlicensed gambling operations, high-yield investment programs, and unauthorized streaming of copyrighted live events.

5. We reserve the right to treat any other content as prohibited if we determine, in good faith, that it is indecent, hateful, or otherwise unacceptable.

6. You must not engage in deceptive or harmful behavior, or place unreasonable strain on our infrastructure, as determined by us.

7. You must not reproduce, distribute, or modify any portion of the Site or Services without our express written permission.

8. You must not bypass, disable, or interfere with any security feature of the Site or Services.

9. You must not resell the Services (in whole or part) without our prior written consent, except under an applicable reseller plan.

10. You agree to provide government-issued photo or business identification for identity verification upon reasonable request.

11. You acknowledge that we may occasionally call you regarding your account, and such calls may be recorded, subject to applicable law, for quality and dispute-resolution purposes.

12. By providing a phone number, you consent to receive service-related calls/texts, and β€” where opted in β€” marketing calls/texts, which may be automated. Standard rates may apply. Marketing consent is never a condition of purchase.

13. We may refuse, cancel, suspend, or restrict access to the Site or Services (including cancelling or transferring a domain registration) for any user whose account was previously suspended/terminated for a violation, or who has engaged in unlawful or inappropriate activity as determined by us.

14. If any purchase or account action appears fraudulent, abusive, or suspicious, we may cancel associated Services and close related accounts. We reserve the right to pursue legal remedies for confirmed fraud, and you may be responsible for our resulting losses, including legal costs.

15. You certify that you are at least 18 years old when purchasing any Service.

Copyright complaints (DMCA-style): We have adopted procedures for parties who believe content hosted on our Services infringes their copyright. Complaints should be submitted to [email protected].

2. Abuse of Resources

1. Attempted or actual compromise of any network device belonging to us or any third party β€” including port scanning, IP-range scanning, or vulnerability scanning β€” is strictly prohibited and will be investigated, potentially resulting in immediate termination.

2. DDoS attacks directed at us, or launched from our infrastructure, are strictly prohibited and investigated vigorously.

3. Hosting content that infringes copyright, trademark, or service marks β€” including pirated movies, music, software, or "warez" β€” is prohibited; substantiated complaints may result in termination.

4. You may not host content that defames or harasses any person, discloses private personal information without consent, intentionally causes harm, or infringes intellectual property rights.

5. Accounts that abuse shared resources and fail to remediate after notice may be deactivated immediately without refund.

6. Sites using excessive CPU, memory, or other resources causing strain on shared infrastructure may be required to upgrade to a higher-tier plan (e.g., VPS).

7. Abusive or disrespectful conduct toward our staff may result in immediate removal from our Services without refund.

3. Unsolicited Commercial Email / Spam Policy

1. Use of our Services to transmit unsolicited commercial or bulk email is strictly prohibited.

2. Upon notification of a suspected violation, we will investigate and may restrict network access to prevent further harm.

3. Confirmed violations may result in restriction, suspension, or termination at our sole discretion, and we may pursue costs associated with investigating a substantiated violation. We will notify law enforcement where a criminal offense is suspected.

4. Accounts causing our IP space to be listed on spam databases will be suspended immediately, and an administrative fee upto $50 USD may apply.

5. Suspended accounts will not be reactivated until all offending material is removed. A first violation typically results in a warning; a second may result in immediate termination.

6. We prohibit hosting of open SMTP relays or anonymous remailer services for any purpose.

7. Outgoing email limits apply by plan type to protect deliverability and server performance (e.g., shared hosting: 100/hour; reseller: 250/hour; VPS/cloud: 1000/hour; dedicated: 2000/hour). We do not guarantee inbox delivery of outgoing email under any plan.

4. Transfers and Migrations

1. Where offered, we provide a free migration service to help move your website from a previous provider. As the content owner, you understand your site best; while we make reasonable efforts to migrate files and data, you remain responsible for ensuring appropriate access for retrieval and for verifying successful migration. We aim to complete migrations within 72 hours, but cannot guarantee specific timeframes. Email, DNS, and domain migrations may also be attempted but are not guaranteed to be uninterrupted or fully successful.

2. Hosting configurations vary between providers, and data stored in incompatible or proprietary formats may be difficult or impossible to migrate.

3. Free migration assistance, where offered, is generally valid for 30 days from sign-up; migrations requested afterward may incur a fee. We are not responsible for lost or missing data during transfers; backing up your data remains your responsibility at all times.

5. Bandwidth and Resource Usage

1. Bandwidth limits: If your account exceeds its bandwidth allocation, we will notify you. If you do not upgrade or otherwise resolve the overage, your account may be suspended until resolved.

2. "Unmetered" plans: Where a plan is marketed as unmetered, this refers to normal use for a personal or small-business website. If your usage or content presents a risk to server stability, performance, or uptime, we may require an upgrade (e.g., to VPS) or restrict the resources available to your account.

3. Unacceptable resource usage (shared/reseller/cloud plans): Hosting space may be used only for hosting live websites and applications β€” not for unrelated file storage, local backups, FTP hosting, or demo purposes. Cron jobs must run no more frequently than every 15 minutes; MySQL queries should not run longer than 30 seconds; and no single process should consume 25%+ of shared system resources for more than 90 seconds at a time.

6. Reseller Hosting Terms

1. Using a non-reseller hosting plan to resell hosting to third parties is not permitted; a dedicated reseller plan is required.

2. Resellers must ensure their own clients comply with this Agreement.

3. Resellers are solely responsible for supporting their clients β€” including billing, technical support, and customer service. We do not provide direct support to a reseller's end clients.

4. Resellers are solely responsible for content stored or transferred under their account and for their clients' actions, and agree to indemnify us against claims arising from their clients' conduct.

7. Domain Name Registration and Management

1. We cannot guarantee the availability of any specific domain name. Domains are registered in your name; you are responsible for keeping your WHOIS contact information accurate via your account dashboard. Outdated or unverifiable contact data may result in your domain being taken offline per registry policy.

2. For applicable gTLDs, you consent to our acting as your Designated Agent under ICANN's Transfer Policy for approving registrant-contact changes on your behalf.

3. Domain registration fees are non-refundable once processed.

4. Domain infringement: You may not register a domain confusingly similar to a trademark or brand engaged in similar goods/services; doing so may expose you to trademark-infringement liability.

5. Renewal: We will send renewal reminders in advance of expiry (typically 30 days). We are not responsible for failure or delay in domain renewal. Once renewed, domain fees are non-refundable.

6. Termination of your hosting agreement with us does not automatically terminate a domain registration agreement with the underlying registry; a separate cancellation request is required for domain-only accounts.

8. Account Registration and Security

1. To use our Services you must create an Account. You represent that all information you provide is accurate, current, and complete.

2. You are responsible for all activity under your account, whether or not authorized by you, and must keep your credentials secure. Notify us immediately of any unauthorized use at [email protected].

3. You must not attempt to gain unauthorized access to another account, host, or network, or use tools designed to compromise security (e.g., password crackers, network probes). Violations may result in immediate termination and possible referral to law enforcement.

4. We may monitor our systems to verify authorized use, protect against unauthorized access, and confirm security procedures. By using the Services, you consent to such monitoring for these limited, security-related purposes.

5. You are responsible for the security of software/scripts installed under your account and must use reasonably strong passwords. We may require you to strengthen a weak password before continuing to use the Services.

6. We may migrate your account between data centers to comply with applicable law, data-center policy, or for technical reasons, without prior notice where reasonably necessary.

9. Backup Policy

1. Use of the Services is at your own risk. You are solely responsible for maintaining independent backups of your Customer Content. We do not warrant that we back up any account or content, and you accept the risk of data loss.

2. Where included, backups on shared/cloud/reseller plans are provided as a convenience only (e.g., database backups retained 7 days; file backups retained 1 day) and do not include email or media files unless stated otherwise. We strongly recommend independent, offsite backups, and paid backup add-ons for VPS/Dedicated Server customers.

3. In no event will we be liable for data loss, however caused, including loss resulting from suspension, termination, hardware failure, or re-provisioning of a server.

10. Service Uptime and Maintenance

1. We target 99.9% service uptime, excluding scheduled or emergency maintenance and events outside our reasonable control. We will provide advance notice of scheduled maintenance via email where practicable.

2. Uptime commitments and any associated service credits, where applicable to your plan, are set out in our separate [Service Level Agreement (SLA)].

3. We are not liable for the failure of third-party services (upstream connectivity, DNS propagation, third-party software/hardware) or for events of force majeure, including government action, natural disaster, strikes, or telecommunications failures beyond our reasonable control.

11. Reasons We May Suspend or Disable Services

We may suspend or disable Services, with notice where practicable:

1. To address technical problems or perform necessary technical changes.
2. To comply with changes in law or regulation.
3. At your request, to implement changes you have asked for.
4. When required by law or a valid legal order.
5. Where we believe you have materially violated this Agreement.
6. To resolve a third-party claim or dispute.
7. To prevent financial loss or legal liability to us or others.

12. Billing, Late Payment, and Non-Payment

1. Accounts paid by card, UPI, net banking, or PayPal are activated immediately upon confirmed payment; other methods may take longer to clear.

2. Non-payment of an invoice may result in suspension of your Service. Suspended accounts are restored only after outstanding invoices are cleared.

3. If your account is terminated for non-payment, hosted data will not be restored, and reactivation (if offered) will be treated as a new account subject to a reactivation fee.

4. We will not activate new orders for customers with an outstanding balance.

5. Taxes: All listed prices are exclusive of applicable taxes (GST or otherwise) unless stated. Taxes are calculated and added at checkout and are non-refundable.

6. Pricing and promotions: Discounts, coupons, and promotional pricing apply only to the initial term for new customers, unless stated otherwise; standard renewal pricing applies thereafter.

7. Price changes: We may adjust prices from time to time to reflect vendor/licensing cost changes or market conditions. We will provide advance notice of any price increase; continued use of the Service after the change takes effect constitutes acceptance, unless applicable law grants you a right to terminate instead.

13. Cancellation and Account Termination

1. You may request cancellation at any time via your account dashboard, after clearing any outstanding dues. You may choose immediate cancellation (access ends immediately) or cancellation effective at the end of your prepaid term (access continues until then).

2. It is your responsibility to back up all data before requesting cancellation. Once cancellation is processed, data is deleted from our servers and cannot be recovered.

3. Accounts may be terminated for any of the following reasons: voluntary cancellation; expiration without renewal; non-payment; violation of this Agreement; confirmed or suspected fraud; or an unresolved payment dispute/chargeback (which we will attempt to resolve directly with you for a reasonable period, typically 7 days, before terminating).

4. We are not liable for data loss resulting from suspension or termination under any of the above circumstances.

14. Refunds

Refund eligibility, money-back guarantees, and non-refundable items are set out in our separate [Refund Policy], which is incorporated into this Agreement by reference.

15. Third-Party Products, Licenses, and Services

1. We may act as a reseller or sub-licensor of certain third-party software, hardware, and services (e.g., cPanel/WHM, Plesk, Softaculous, LiteSpeed, Microsoft products, cloud infrastructure providers). We are not liable for changes made by those third parties that affect the resold product, and any rights you have regarding a resold product are limited to those the original manufacturer/licensor extends.

2. When you purchase a third-party product or service through us, you are additionally bound by that provider's own terms of service, which take precedence for matters specific to that product.

3. You must not clone, reverse-engineer, or tamper with any resold product except as permitted by the Services.

16. Intellectual Property

1. The Site, our branding, documentation, and underlying software are owned by Sysop Solutions or our licensors and protected by applicable law. You receive no rights to our trademarks or brand assets beyond what is necessary to use the Services as intended.

2. You retain all ownership rights in your Customer Content. You grant us a limited license to host, store, and process it solely to provide and support the Services.

3. Feedback or suggestions you provide about the Services may be used by us without obligation or compensation to you.

17. Prohibited Illegal or Infringing Content

1. You warrant that content you upload or publish through the Services does not violate applicable law β€” including copyright, data protection, and unfair-competition law β€” and does not violate public morals, contain obscene material, incite hatred, endanger minors, or infringe the rights of any third party.

2. If we receive a credible, specific third-party complaint that your content is illegal or infringing, we will generally notify you and give you a reasonable opportunity to respond before taking action. Where content is obviously and severely abusive (e.g., CSAM, active malware, imminent harm), we reserve the right to disable access immediately and notify you afterward. Your payment obligations are unaffected by any such action.

18. Sanctions, Restricted Territories, and Export Compliance

1. We reserve the right not to provide Services to individuals or entities located in, or ordinarily resident in, countries or territories subject to comprehensive sanctions under applicable law, or to individuals/entities appearing on relevant government sanctions or denied-party lists. We may conduct reasonable screening of order information for this purpose.

2. You represent that you are not located in a sanctioned jurisdiction and are not subject to applicable government sanctions, and that you will not resell or provide access to the Services, directly or indirectly, to any party in breach of this Section.

3. We may suspend or terminate Services immediately, without liability, upon reasonable suspicion of a breach of this Section, and may decline to refund amounts where repayment would itself violate applicable law.

19. Indemnification

You agree to indemnify, defend, and hold harmless Sysop Solutions and its officers, employees, and affiliates from any claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your Customer Content; (c) your violation of this Agreement or applicable law; (d) your infringement of any third-party right; or (e) any product or service you sell, distribute, or provide using the Services (including as a reseller).

20. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA LOSS WILL NOT OCCUR. GIVEN THE NATURE OF DATA TRANSMISSION OVER OPEN NETWORKS LIKE THE INTERNET, WE CANNOT FULLY GUARANTEE THE SECURITY OF DATA IN TRANSIT.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OUR OFFICERS, EMPLOYEES, LICENSORS, AGENTS, SUBCONTRACTORS, AND THIRD-PARTY SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES β€” INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS β€” ARISING FROM DELAYS, MALFUNCTIONS, OR SUSPENSIONS OF SERVICE, FORCE MAJEURE, THIRD-PARTY ACTIONS, OR HARDWARE/SOFTWARE FAILURE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID US FOR THE AFFECTED SERVICE(S) DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the greatest extent the law allows, and your statutory rights as a consumer, if applicable, remain unaffected.

22. Dispute Resolution and Governing Law

1. Where any dispute, controversy, or claim arises out of or relates to this Agreement, both parties will use reasonable efforts to resolve it through good-faith negotiation before pursuing formal proceedings.

2. This Agreement is governed by the laws of India, without regard to conflict-of-laws principles, except where a mandatory local consumer-protection law provides otherwise.

3. Subject to the foregoing, you agree that the courts of Ambala, Haryana, India shall have exclusive jurisdiction over disputes relating to the execution, interpretation, enforcement, or termination of this Agreement.

23. Third-Party Beneficiaries

Where you purchase a third-party product or service through us (e.g., a control panel, CDN, or licensed software), the relevant third-party provider is a designated third-party beneficiary of the terms in this Agreement that apply specifically to its product or service, and may enforce those terms directly.

24. Force Majeure

Neither party is liable for delay or failure in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, epidemic/pandemic, labor disputes, or internet/telecommunications/power outages.

25. Severability; Assignment; Entire Agreement

1. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force, and the parties will agree on a replacement provision that best reflects the original intent.

2. You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.

3. This Agreement, together with our Privacy Policy, Refund Policy, and SLA, constitutes the entire agreement between you and us regarding the Services.

26. Changes to These Terms

We may modify this Agreement at any time. Where a change is required by law, or relates to a new service/feature that neither reduces your rights nor increases your obligations, the change may take effect immediately upon posting. For other material changes, we will provide reasonable advance notice via email or a Site notice. Continued use of the Services after a change takes effect constitutes your acceptance of the revised Agreement.
